Observer Tools Supplier Code of Conduct
Purpose
Observer Tools values ethical, responsible, and sustainable business practices. This Supplier Code of Conduct sets expectations for all suppliers providing goods or services to Observer Tools. Compliance with this Code is a condition of doing business with us.
1. Legal and Regulatory Compliance
Suppliers must comply with all applicable laws and regulations in the countries where they operate, including:
- Labor and employment laws
- Environmental regulations
- Anti-bribery and anti-corruption laws
- Trade and customs regulations
2. Human Rights and Labor Standards
Suppliers are expected to:
- Prohibit child labor, forced labor, and human trafficking.
- Provide fair wages, working hours, and benefits in compliance with local laws.
- Maintain safe and healthy working conditions.
- Respect freedom of association and collective bargaining rights.
3. Environmental Responsibility
Suppliers should:
- Minimize environmental impact in operations, including waste, emissions, and resource use.
- Comply with all environmental laws and regulations.
- Implement practices that promote sustainability and reduce carbon footprint where feasible.
4. Responsible Minerals Sourcing
Suppliers are expected to:
- Use best efforts to source minerals responsibly, avoiding materials that finance armed conflict or contribute to human rights abuses.
- Participate in periodic surveys in conformance with IPC-1755 standards (e.g., Extended Minerals Reporting Template – EMRT) on a best-efforts basis.
- Notify Observer Tools promptly if they become aware of credible risks related to conflict minerals or unethical sourcing.
- Cooperate on corrective actions if issues are identified, including developing and implementing remediation plans within reasonable timelines.
5. Business Integrity
Suppliers must:
- Avoid bribery, corruption, and unethical business practices.
- Maintain accurate records and provide truthful information when requested.
- Protect confidential information and intellectual property belonging to Observer Tools.
6. Corrective Actions
If Observer Tools identifies a violation of this Code:
- We will engage the supplier to understand the issue and agree on a corrective action plan.
- Reasonable timelines will be set for remediation.
- Failure to remediate or severe violations may result in suspension or termination of the business relationship.
Acknowledgment
By accepting a purchase order or contract from Observer Tools, the supplier acknowledges and agrees to comply with this Supplier Code of Conduct.
